VIC-E Property

Client Projects

For custom development projects, intellectual property rights will be defined in the individual project agreement or contract. Unless otherwise specified, you retain ownership of your original content and data.

Payment Terms

For paid services:

• Payment terms will be specified in individual project agreements
• All fees are non-refundable unless otherwise stated
• Late payments may incur additional charges
• We reserve the right to suspend services for non-payment
• Prices are subject to change with prior notice

Project Deliverables and Timelines

For development projects:

• Specific deliverables and timelines will be outlined in project agreements
• Timelines are estimates and may be adjusted based on project scope changes
• Client cooperation and timely feedback are required to meet deadlines
• Delays caused by client actions may extend project timelines

Confidentiality

Both parties agree to:

• Maintain confidentiality of proprietary information
• Not disclose confidential information to third parties
• Use confidential information only for the intended purpose
• Return or destroy confidential information upon request

Warranties and Disclaimers

Limited Warranty

We warrant that our services will be performed in a professional and workmanlike manner. Specific warranties for deliverables will be outlined in project agreements.

Disclaimer

EXCEPT AS EXPRESSLY PROVIDED, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIC-E SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability for any claim arising out of or relating to these Terms or our Services shall not exceed the amount paid by you to VIC-E in the twelve (12) months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless VIC-E and its affiliates from any claims, liabilities, damages, losses, and expenses arising out of or related to your use of our Services or violation of these Terms.

Termination

We reserve the right to:

• Suspend or terminate access to our Services at any time for violations of these Terms
• Refuse service to anyone for any reason
• Terminate ongoing projects as specified in project agreements

Either party may terminate a project agreement as specified in the individual contract terms.

Dispute Resolution

Any disputes arising from these Terms or our Services shall be resolved through:

• Good faith negotiations between the parties
• Mediation if negotiations fail
• Binding arbitration as a final resort

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where VIC-E operates, without regard to its conflict of law provisions.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of our Services after such changes constitutes acceptance of the modified Terms.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
